Neta Terms of Service

Welcome to Neta. These Terms of Service ("Terms") govern your access to and use of the website located at https://neta.art, Neta's related websites, applications, products, AI generation tools, community features, and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Services.

1. Account Registration and Security

1.1 Account Creation

To access certain features of the Services, you may be required to create an account or sign in through a supported third-party account. You agree to provide accurate, current, and complete information and to keep your account information updated.

1.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, except for unauthorized activity outside your reasonable control.

1.3 Security Measures

You should use a strong and unique password and enable additional security features where available. If you suspect unauthorized access to your account, you must notify Neta Support promptly.

1.4 Account Restrictions

You may not create or maintain an account if you have previously been suspended, removed, or banned from Neta or its affiliated services, unless Neta expressly permits you to do so.

2. Use of the Services

2.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. Subject to your compliance with these Terms, Neta grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, unless Neta separately authorizes commercial use in writing or through a specific product plan.

2.2 Prohibited Use

You agree not to:

  • Use the Services in violation of any applicable law, regulation, or third-party right;

  • Use the Services for fraudulent, deceptive, abusive, illegal, or harmful activities;

  • Harass, bully, threaten, impersonate, or intimidate others;

  • Upload, generate, post, or share content that is hateful, discriminatory, pornographic, violent, exploitative, self-harm related, or otherwise harmful;

  • Infringe or misappropriate intellectual property, privacy, publicity, or other rights of any person or entity;

  • Attempt to access, interfere with, modify, reverse engineer, scrape, overload, disrupt, or compromise the Services, servers, systems, networks, or security measures;

  • Use automated scripts, bots, crawlers, or similar tools in a way that violates these Terms or harms the Services;

  • Upload, transmit, or distribute malware, viruses, harmful code, or other destructive technology;

  • Circumvent usage limits, payment requirements, access controls, moderation systems, or content safety measures;

  • Use the Services while driving or in any situation where doing so may create a safety risk.

3. User Content and AI-Generated Content

3.1 User Content

"User Content" means any content you submit, upload, create, post, share, or otherwise make available through the Services, including prompts, images, characters, comments, profile information, source materials, and AI-generated outputs.

You retain any rights you have in your User Content, subject to the license granted to Neta below and any rights held by third parties.

3.2 Your Responsibilities

You are solely responsible for your User Content and for ensuring that you have all rights, permissions, licenses, and consents necessary to submit, upload, generate, post, share, and use it through the Services.

If you create or upload original characters, images, references, prompts, or other materials, you represent and warrant that your use of those materials does not infringe or violate any third-party rights or applicable laws.

3.3 License to Neta

By submitting, uploading, generating, posting, sharing, or otherwise making User Content available through the Services, you grant Neta and its affiliates, service providers, and technology partners a worldwide, non-exclusive, sublicensable, transferable, royalty-free, perpetual, and irrevocable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, display, perform, distribute, promote, and otherwise use your User Content for operating, providing, improving, protecting, developing, marketing, and promoting the Services.

This license includes the right to process prompts, reference materials, AI-generated outputs, and related metadata as necessary to provide and improve the Services. To the extent permitted by law, this license survives deletion of your account or termination of your access to the Services.

3.4 AI-Generated Outputs

The Services may use artificial intelligence technologies to generate images, characters, stories, visual assets, or other outputs based on your prompts or inputs. AI-generated outputs may not be unique and may be similar or identical to content generated for other users.

Neta does not guarantee that AI-generated outputs are accurate, original, lawful, non-infringing, suitable for commercial use, or free from third-party claims. You are responsible for reviewing and determining whether your use of any output complies with applicable laws, platform rules, and third-party rights.

3.5 Use of Materials and Generated Images

Materials and generated images made available through the Services are intended for entertainment, communication, creation, and sharing. Unless you have obtained appropriate authorization from the relevant rights holder, you may not use another user's content, uploaded materials, or generated images for unauthorized commercial purposes.

Any dispute, loss, or liability arising from unauthorized use of content is your sole responsibility.

3.6 Content Review and Removal

Neta may, but is not obligated to, review, moderate, remove, restrict, or disable access to User Content that Neta believes violates these Terms, community guidelines, applicable law, third-party rights, or the safety and integrity of the Services.

A lack of review does not mean that Neta approves or endorses any User Content.

3.7 Community Display

Content you choose to publish, share, or submit to community or public areas of the Services may be displayed within Neta, on Neta's official channels, or in promotional materials in connection with the Services, subject to these Terms and applicable law.

4. Community Guidelines

You agree to interact with others respectfully and responsibly. You must not:

  • Post or share abusive, hateful, discriminatory, sexually explicit, violent, exploitative, or illegal content;

  • Encourage self-harm, violence, harassment, or dangerous behavior;

  • Share private or sensitive information about others without permission;

  • Misrepresent your identity or affiliation;

  • Spam, manipulate engagement, or post unsolicited advertising;

  • Upload or share content that infringes copyright, trademark, publicity, privacy, or other rights;

  • Attempt to evade moderation, reporting, or enforcement measures.

Neta may publish additional community rules, safety policies, or content guidelines. Those policies are incorporated into these Terms by reference.

5. Payments, Credits, and Subscriptions

Certain features of the Services may require payment, credits, tokens, subscriptions, or other paid access. Prices, billing terms, renewal terms, usage limits, and refund rules may be displayed at the time of purchase or in the relevant product interface.

You agree to pay all applicable fees and taxes associated with your purchases. Unless otherwise required by law or expressly stated by Neta, payments are non-refundable once digital services, credits, generation capacity, or subscription benefits have been delivered or made available.

Neta may change prices, paid features, credit rules, subscription benefits, or billing methods from time to time. Material changes will apply prospectively unless otherwise stated.

6. Mobile Data, Network Charges, and Communications

You are responsible for any data, messaging, internet, device, carrier, or network charges incurred through your use of the Services.

By providing contact information, such as an email address or phone number, you agree that Neta may send you service-related communications, account notices, security alerts, product updates, and promotional communications where permitted by law. You may opt out of promotional communications where required or supported, but you may still receive essential service messages.

If your contact information changes, you should update your account promptly to avoid missed or misdirected communications.

7. Third-Party Materials and Services

The Services may include, rely on, or link to third-party content, data, software, models, payment providers, identity providers, analytics services, hosting providers, APIs, websites, or other services ("Third-Party Materials").

Your use of Third-Party Materials may be subject to separate terms and policies. Neta is not responsible for the availability, accuracy, legality, quality, security, or practices of Third-Party Materials and does not endorse or guarantee them.

8. Intellectual Property

Except for User Content, the Services, including software, interfaces, designs, text, graphics, logos, trademarks, models, systems, features, and other materials, are owned by Neta or its licensors and are protected by intellectual property and other laws.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from any part of the Services except as expressly permitted by these Terms or applicable law.

No rights are granted to you except as expressly stated in these Terms.

9. Modification of Services and Terms

Neta may add, modify, suspend, limit, or discontinue any part of the Services at any time, with or without notice.

Neta may update these Terms from time to time to reflect changes in the Services, business practices, legal requirements, security needs, or other reasons. If changes are material, Neta will provide reasonable notice where required. Your continued use of the Services after updated Terms take effect means you accept the updated Terms.

10. Suspension and Termination

10.1 Your Right to Stop Using the Services

You may stop using the Services at any time. If account deletion tools are available, you may request deletion of your account through the Services or by contacting Neta.

10.2 Neta's Rights

Neta may restrict, suspend, terminate, or disable your access to all or part of the Services if Neta believes that:

  • You violated these Terms, community guidelines, or applicable law;

  • Your conduct may harm users, third parties, Neta, or the Services;

  • Your account is involved in fraud, abuse, security risk, or unauthorized activity;

  • Continued access may expose Neta or others to legal, security, operational, or reputational risk;

  • Termination or suspension is otherwise necessary to protect the Services.

10.3 Effect of Termination

Upon termination, your right to access and use the Services will cease. Sections concerning User Content licenses, intellectual property, payments, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions intended to survive will remain in effect.

11. Indemnification

You agree to indemnify and hold harmless Neta, its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use or misuse of the Services;

  • Your User Content, prompts, uploaded materials, or generated outputs;

  • Your violation of these Terms, applicable law, or third-party rights;

  • Your negligence, fraud, misconduct, or unauthorized activity.

12. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Neta disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.

Neta does not guarantee that the Services will be uninterrupted, error-free, secure, timely, compatible with your device, or free from harmful components. Neta does not guarantee the accuracy, reliability, originality, legality, safety, quality, or suitability of User Content, AI-generated outputs, or Third-Party Materials.

Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you. In such cases, the exclusions apply only to the maximum extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, Neta and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including loss of profits, revenue, data, goodwill, business opportunity, or content, arising out of or related to your use of or inability to use the Services.

To the fullest extent permitted by law, Neta's total liability for all claims relating to the Services will not exceed the greater of EUR 100 or the total amount you paid to Neta for the Services during the twelve months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where such limitation is prohibited.

14. Dispute Resolution

If you have a concern or dispute, please contact Neta Support first so that we can try to resolve it informally.

These Terms do not prevent either party from seeking injunctive or equitable relief where necessary to protect intellectual property, confidential information, security, or service integrity.

Where applicable law requires specific dispute resolution procedures, venue, jurisdiction, or consumer rights protections, those requirements will apply to the extent required by law.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement and Assignment

These Terms, together with any additional terms, policies, guidelines, or notices referenced by Neta, constitute the entire agreement between you and Neta regarding the Services.

Neta may assign or transfer its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, restructuring, sale of assets, or operation of law. You may not assign or transfer your rights or obligations under these Terms without Neta's prior written consent.
