Neta Terms of Service

1. Introduction
Welcome to Neta. These Terms of Service ("Terms") govern your access to and use of Neta's websites, applications, AI creation tools, Neta Studio, content display features, community features, paid services, and related products and services provided by Viscept (HK) Limited (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
2. Account Registration and Security
- Account Creation: You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and keep it updated.
- Account Responsibility: You are responsible for maintaining the confidentiality of your credentials and for activity under your account, except for unauthorized activity outside your reasonable control.
- Security Measures: Use a strong password and enable additional security features if available. Notify Neta immediately if you suspect unauthorized access.
- Account Restrictions: You may not create or maintain an account if you have been removed, banned, or suspended by Neta or its affiliates, unless we expressly permit it.
3. Permitted Use and Commercial Use
3.1 General Permitted Use
You may use the Services for lawful personal, creative, educational, professional, and commercial purposes, subject to these Terms, applicable product plans, creator permissions, third-party rights, and applicable law.
3.2 Commercial Use of Outputs
Neta does not claim ownership of your original Inputs or your independently created concepts, characters, story settings, brands, or other original intellectual property. Subject to your subscription tier or product plan, the permissions attached to any third-party or community content you use, and applicable law, you may commercialize Outputs generated through the Services.
Commercial use is not permitted where it would violate law, infringe third-party rights, breach creator permissions, misuse another user's content, involve prohibited content, or rely on materials for which you do not have sufficient rights.
3.3 No Blanket Non-Commercial Restriction
The Services are not limited to non-commercial use by default. If a specific feature, asset, model, template, community work, campaign, or product plan has separate restrictions, those specific restrictions will apply to that feature, asset, model, template, community work, campaign, or plan.
4. Prohibited Use
You may not use the Services to:
- Violate any law, regulation, court order, or third-party right.
- Engage in fraud, deception, scams, unauthorized impersonation, or misleading synthetic media practices.
- Create, upload, host, publish, share, distribute, or promote prohibited content described in Section 7.
- Harass, bully, threaten, intimidate, dox, exploit, or abuse others.
- Interfere with, disrupt, attack, scrape, reverse engineer, or gain unauthorized access to the Services, systems, networks, models, or data.
- Use automated tools, scripts, bots, or other means to bypass rate limits, safety controls, moderation systems, access controls, or product restrictions.
- Upload or distribute malware, viruses, harmful code, or content designed to compromise security.
- Use the Services in situations where distraction or misuse could create safety risks.
5. User Content, Ownership, and Neta License
5.1 Your Ownership
As between you and Neta, you retain ownership of your original User Content, including your original Inputs, characters, world settings, stories, uploaded materials, and other works you independently create, subject to third-party rights and applicable law.
5.2 Your Responsibility
You are responsible for ensuring that your User Content is lawful, accurate where required, and that you have all rights and permissions needed to submit, publish, share, commercialize, or authorize others to use it.
5.3 License to Operate the Services
By submitting, uploading, generating, posting, publishing, sharing, or otherwise making User Content available through the Services, you grant Neta and its service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, adapt technically, and otherwise use your User Content as necessary to operate, provide, secure, moderate, improve, and support the Services.
This operational license is limited to service-related purposes and does not transfer ownership of your User Content to Neta.
5.4 Published and Shared Content
When you publish or publicly share User Content, you authorize Neta to display, distribute, promote, and make that content available within or in connection with the Services. Content you share to the Neta community may also be displayed on Neta's official channels for product, community, or promotional purposes, with reasonable attribution where practical.
6. Re-Development, Remix, Lineage, and Revenue Sharing
6.1 Re-Development Right for Published or Shared Content
Neta is designed as a creative engine, not merely a storage service. When you publish or share User Content through the Services, you grant Neta a worldwide, non-exclusive, royalty-free license to re-develop, adapt, expand, format-shift, and transform that published or shared content into interactive games, roleplay encounters, video scenes, AI agent behaviors, world maps, showcases, recommendations, and other creative experiences using Neta's tools and systems (the "Re-Development Right").
This Re-Development Right is non-exclusive and does not remove your ownership of your original User Content.
6.2 Creator Permissions
Where the Services provide permission settings, you may configure whether and how other users may remix, fork, re-develop, publicly display, or commercially use your published content. Users must respect the creator permissions attached to content.
6.3 Lineage and Attribution
Neta may implement creation lineage, attribution, or proof-of-creation systems to record origin, prompt chains, version history, forks, derivatives, and attribution relationships. Re-developed, remixed, or derivative works should preserve visible attribution to the original creator where the Services support attribution or where required by creator permissions.
6.4 Revenue Sharing
If a re-developed, remixed, forked, or derivative work generates revenue through Neta-supported monetization features, any creator revenue share will be governed by the applicable product plan, creator program, publication settings, revenue-sharing terms, or separate written agreement.
7. AI Safety and Content Moderation
Neta enforces safety and moderation policies for generative AI and content-creation tools. We may use automated systems, technical safeguards, user reporting tools, and human review to detect, block, remove, restrict, or report violating content and behavior.
7.1 System Detection
Neta may use automated systems to identify and promptly remove, restrict, or escalate violating content, including deepfakes and deceptive text, images, video, or audio. These systems may analyze Inputs, Outputs, metadata, usage patterns, reports, and safety signals.
7.2 Safeguards Against Deception
Neta implements technical controls designed to limit creation and distribution of harmful synthetic content, including misinformation, deceptive impersonation, misleading synthetic media, fraudulent content, and content intended to deceive users or the public.
7.3 Prevention and Reporting
Neta may use proactive tools to block generation attempts that violate these Terms or our policies. Users may report suspected policy breaches through in-product reporting tools, support channels, or by contacting us at [email protected]. We will review reports and take appropriate action.
7.4 Sexually Explicit Content, Pornography, Adult Services, and CSAM
You may not create, upload, generate, host, publish, share, distribute, promote, request, or facilitate sexually explicit content, pornography, adult services, sexual solicitation, or sexual exploitation through the Services.
Neta maintains zero tolerance for Child Sexual Abuse Material (CSAM) and any content related to child sexual exploitation, grooming, sexualization of minors, or abuse of minors. We may remove such content, suspend or terminate accounts, preserve evidence, and report relevant information to law enforcement, child safety organizations, or other authorized parties as required or permitted by law.
7.5 Hate Speech and Violence
You may not create, upload, generate, host, publish, share, distribute, promote, request, or facilitate content that encourages, promotes, instructs, threatens, praises, or celebrates unlawful violence, terrorism, violent extremism, or hate toward individuals or groups based on race, ethnicity, color, religion, caste, disability, medical condition, age, sex, gender, gender identity or expression, sexual orientation, national origin, immigration status, veteran status, or any other protected characteristic.
7.6 Sensitive Content and Keywords Restrictions
Please do not maliciously use sensitive words to generate non-compliant images. Sensitive content includes:
- Inciting ethnic hatred or discrimination, or undermining ethnic unity;
- Undermining national religious policies, or promoting cults and feudal superstitions;
- Disseminating obscenity, pornography, gambling, violence, murder, terror, or inciting the commission of a crime;
- Containing content that is false, fraudulent, harmful, coercive, invasive of privacy, harassing, infringing, defamatory, vulgar, indecent, or otherwise morally offensive.
7.7 Enforcement
Neta may remove content, block generation, restrict features, disable sharing, suspend or terminate accounts, preserve evidence, notify affected parties, cooperate with authorities, or take other appropriate action if we believe content or conduct violates these Terms, our policies, or applicable law.
8. Content Review and Reporting
Neta may review content for compliance with these Terms and our policies, but we do not guarantee that all content will be reviewed before it appears or is used. Lack of review does not imply approval.
If you believe content violates your rights, these Terms, or Neta policies, please report it through in-product tools or contact us. We may review reports, request additional information, remove or restrict content, limit distribution, suspend or terminate accounts, or take other appropriate action.
9. Third-Party Materials and Services
The Services may include or link to third-party content, data, models, features, tools, software, platforms, payment channels, or services ("Third-Party Materials"). Your use of Third-Party Materials is governed by the terms and policies of the relevant third party. Neta is not responsible for the content, accuracy, legality, availability, safety, or quality of Third-Party Materials, except as required by law.
10. Paid Services, Subscriptions, and Plans
Certain features may require payment, subscription, credits, or a specific product plan. Fees, usage limits, commercial permissions, revenue-sharing terms, refund rules, and other plan-specific terms may be described at the time of purchase or in separate product terms. If there is a conflict between these Terms and specific paid plan terms, the specific paid plan terms apply to that paid feature to the extent of the conflict.
11. Modification of Services and Terms
Neta may add, modify, suspend, or discontinue features or Services at any time. We may update these Terms to reflect changes in the Services, legal requirements, safety requirements, or business operations. Material changes will be preceded by reasonable notice unless immediate changes are required for legal, security, or safety reasons. Continued use after changes take effect means you accept the updated Terms.
12. Termination, Suspension, and Appeals
You may delete your account and stop using the Services at any time. Neta may restrict, suspend, or terminate your access or account if we believe you have violated these Terms, our policies, creator permissions, applicable law, or if your conduct creates legal, safety, security, or operational risk.
Examples include repeated or severe violations, fraudulent or harmful conduct, attempts to bypass safety systems, CSAM or child exploitation content, unlawful violent content, hate content, deceptive impersonation, or misuse of another user's content.
Suspension Escalation for Sensitive Content Violations: Accumulating a certain number of violations through malicious use of sensitive words will result in account suspensions of 1, 3, or 7 days. Users involved in severe cases will be permanently banned.
Where appropriate and legally permitted, we may provide notice and an opportunity to appeal according to our moderation, enforcement, and appeals processes.
13. Disclaimers and Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, or security.
AI-generated Outputs may be inaccurate, incomplete, similar to other content, unsuitable for your intended use, or subject to third-party rights or claims. Neta does not guarantee that Outputs are original, copyrightable, lawful, non-infringing, suitable for commercial use, or free from third-party claims. You are responsible for reviewing Outputs and determining whether your use complies with applicable law and rights requirements.
14. Indemnification
You agree to indemnify and hold harmless Neta, its affiliates, officers, directors, employees, licensors, and agents from any claims, damages, losses, costs, or expenses (including attorneys' fees) arising from:
- Your use of the Services.
- Your User Content, including intellectual property claims.
- Your violation of these Terms or law.
- Your negligence, fraud, or misconduct.
15. Limitation of Liability
To the fullest extent permitted by law, Neta and its affiliates, officers, directors, employees, licensors, and agents are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including loss of profits, data, or goodwill) arising from your use or inability to use the Services.
Neta's total liability for all claims relating to the Services will not exceed the greater of EUR 100 or the total amount you paid to Neta in the previous 12 months.
Nothing in these Terms limits liability for death or personal injury caused by Neta's negligence, fraud, or other liability that cannot be excluded by law.
16. Dispute Resolution
If you have a concern or dispute, please contact us first so we can try to resolve it informally. Additional dispute resolution terms may apply depending on your location, product plan, or separate agreement.
17. Severability
If any provision of these Terms is found unenforceable or invalid, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
18. Assignment
Neta may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, asset transfer, operation transfer, or by operation of law. You may not assign your rights or obligations under these Terms without Neta's prior written consent.
19. Entire Agreement
These Terms, together with the Privacy Policy, applicable product terms, creator program terms, revenue-sharing terms, community guidelines, and any other terms referenced or accepted by you, constitute the entire agreement between you and Neta regarding the Services.
